A straightforward agreement
The details of each project are confirmed before work begins. If you have questions about a quotation or these terms, please contact Miperia before accepting the offer.
1. About Miperia
Miperia provides website design and development, website hosting, maintenance, and related digital services. Additional services may include domain configuration, business email, integrations, and technical support.
Miperia is operated by Miperia B.V, registered in the Netherlands under Chamber of Commerce number [Pending].
Registered business address: Address Street. Contact: [email protected].
2. Scope and acceptance
These Terms and Conditions apply to services supplied by Miperia unless a separate written agreement states otherwise.
Before work begins, the agreed scope, deliverables, pricing, estimated schedule, and any recurring fees will be confirmed in a quotation, order confirmation, or written agreement.
A contract is formed when the customer accepts the quotation or otherwise clearly agrees to the proposed work. Any special terms agreed in writing take precedence over these general terms where they conflict.
3. Pricing, VAT and payment
Prices displayed on the website are indicative starting prices. The final price depends on the agreed scope of work and will be confirmed before the customer commits to a project.
Prices for consumers will be communicated inclusive of VAT where applicable. Prices for business customers may be quoted exclusive of VAT, with VAT shown separately on the quotation or invoice. Any additional costs will be communicated before the customer agrees to them.
One-time development fees and recurring services, such as hosting or maintenance, are separate charges unless the quotation expressly states otherwise.
Invoices must be paid by the due date stated on the invoice. If a payment is overdue, Miperia may send a payment reminder and, where legally permitted, charge statutory interest and reasonable collection costs after the required notices.
Miperia will not charge for additional work outside the agreed scope without first obtaining the customer's approval.
4. Website design and development
Miperia will carry out the work with reasonable care and skill, based on the agreed requirements. Delivery dates are estimates unless expressly agreed in writing as binding deadlines.
The customer is responsible for supplying accurate content, images, branding, business information, and other materials needed for the project, and for confirming that they have permission to use them.
The customer should review previews and deliverables and report errors or requested changes promptly. The agreed quotation will specify the included revisions, pages, features, and other deliverables.
Requests that fall outside the agreed scope, including additional pages, substantial redesigns, new integrations, or significant functionality changes, may require a separate quotation.
5. Hosting, maintenance and updates
Hosting and maintenance are provided only where included in the selected package or separately agreed in writing. The applicable monthly fee, included support, and update allowance will be stated in the package description or quotation.
Small updates do not automatically include new pages, a redesign, substantial new functionality, or extensive content creation. Unused monthly update allowances do not carry over unless agreed otherwise in writing.
Miperia aims to keep hosted websites available and secure but cannot guarantee uninterrupted availability. Service may be affected by maintenance, outages, cyberattacks, network issues, or third-party infrastructure.
Third-party providers may have their own terms, service limits, pricing, and availability requirements. Miperia is not responsible for outages or changes outside its reasonable control, without limiting any rights the customer has under applicable law.
6. Customer responsibilities
The customer agrees to:
The customer remains responsible for the accuracy and legality of business information, product descriptions, claims, and other materials published on their website.
- Provide accurate information and content for the project.
- Ensure that supplied materials can legally be used and published.
- Review and approve content, designs, and functionality in a timely manner.
- Keep account credentials and access details secure.
- Use the website and services lawfully.
- Obtain any permissions, licences, or consents required for their own business and website.
7. Intellectual property
Each party retains ownership of materials, software, trademarks, and other intellectual property it owned before the project.
Once all amounts due for the relevant project have been paid, the customer receives the agreed rights to use the final website deliverables, as specified in the quotation or project agreement. Any transfer of ownership or exclusive rights must be expressly agreed in writing.
Third-party software, fonts, stock images, plugins, open-source components, and other licensed materials remain subject to their own licence terms. They may not be transferable to the customer.
Miperia will not use confidential customer information or display a customer's website as a portfolio example where the customer has reasonably objected or confidentiality obligations prohibit it.
8. Domains, email and third-party services
Domain registration, email services, software licences, and third-party subscriptions are included only where expressly stated in the quotation.
Where a domain is registered for a customer, the parties will clarify who the registrant is and how account access and renewal are managed. Customers should ensure that renewal details and contact information remain accurate.
Third-party fees may change and may be payable directly by the customer. Miperia will explain relevant recurring costs known at the time of the quotation.
9. Cancellation and termination
The customer may request cancellation or termination by contacting Miperia in writing. Any applicable notice period, minimum term, and cancellation arrangements for recurring services will be stated in the relevant agreement.
Consumers retain any mandatory statutory cancellation and withdrawal rights. For distance contracts, a consumer will generally have a 14-day withdrawal period where the law provides one. Exceptions and special rules may apply to particular services.
If a consumer asks Miperia to start work during the withdrawal period, any required express request and acknowledgement of the legal consequences will be obtained separately. Any amount payable if the consumer withdraws after work has begun will be determined in accordance with applicable law.
Miperia may suspend or terminate a service for a serious breach of the agreement if the breach is not remedied after reasonable notice, where notice and an opportunity to remedy are legally required. This does not affect any mandatory rights.
At the end of a service, the parties will cooperate reasonably on the handover of customer-owned materials and agreed website files, subject to payment of outstanding amounts and any applicable third-party restrictions.
10. Security, backups and data
Miperia will take reasonable technical and organisational measures appropriate to the agreed service. No website or online service can be guaranteed to be completely secure.
Backups, recovery services, and restoration assistance are included only where stated in the relevant package or agreement. Customers should retain copies of important content and business data.
Where Miperia processes personal data on behalf of a customer, the parties may need a separate data processing agreement defining their respective responsibilities under applicable data protection law.
11. Liability
Miperia will perform its services with reasonable care and skill. Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law.
To the extent permitted by applicable law, Miperia is not liable for losses caused by inaccurate information supplied by the customer, unlawful customer content, unauthorised changes by third parties, or failures of third-party services outside Miperia's reasonable control.
The customer should notify Miperia promptly of any issue and give Miperia a reasonable opportunity to investigate and correct it. Any agreed limitation of liability must be reasonable and will not affect mandatory consumer rights.
12. Complaints and applicable law
If a customer has a concern about a service, they should contact Miperia at [email protected], explaining the issue and including relevant project details. Miperia will make reasonable efforts to respond and resolve the matter.
These terms are governed by the laws of the Netherlands, subject to any mandatory protections that apply to consumers in their country of residence.
Any dispute will be handled by the competent court under the applicable legal rules. Nothing in these terms removes a consumer's right to bring proceedings before a court that is legally competent to hear the dispute.
